Customer Terms & Conditions
1. Definitions
- “Codego”, “we”, “us” — Codego Group LTD, 152 / No. 9, Triq In-Naxxar, San Gwann, SGN 9030, Malta, operator of the Service.
- “Service” — Codego CryptoNodes: JSON-RPC proxying, REST data endpoints, event Webhooks, and Wallet-as-a-Service (“WaaS”), provided over Codego-operated blockchain full nodes and signing infrastructure.
- “Customer”, “you” — the person or entity that registers for or uses the Service.
- “End User” — any user, customer, or third party to whom the Customer makes its own application or product available using the Service.
- “Digital Assets” — cryptocurrencies, tokens, and other blockchain-based assets.
- “Regulated Services” — money transmission, payment services, e-money issuance, custody/safekeeping of assets or keys, exchange, brokerage, lending, or any other activity requiring a licence, registration, or authorisation under applicable law.
2. The Service
The Service provides programmatic, technical access to blockchain infrastructure operated by Codego on its own full nodes, plus tooling to generate wallet addresses and to construct, sign and broadcast blockchain transactions on the Customer's instruction. The Service is software and infrastructure only. The Customer designs, operates, and is responsible for its own application, product, and relationship with its End Users.
3. Regulatory disclaimers
Codego is a technology partner, not a financial intermediary. The following applies notwithstanding anything else in these Terms:
- Codego is not licensed or registered as, and does not act as, a money transmitter, money-services business, payment institution, e-money institution, custodian, exchange, broker, dealer, or fiduciary, and does not provide Regulated Services.
- Nothing in these Terms or in the Service will be interpreted or construed as Codego providing, offering, or being the provider of any Regulated Services.
- Codego does not custody, hold, control, manage, or have access to the Customer's or any End User's Digital Assets or private keys, and never moves Digital Assets on its own initiative. The Service only executes the Customer's own programmatic instructions.
- The Customer is solely responsible for obtaining and maintaining, where applicable, all governmental, regulatory, and legally required licences, registrations, permits, and authorisations for its own business and activities, including any KYC/AML, sanctions screening, consumer-protection, tax, and reporting obligations relating to it and its End Users.
- Codego provides no legal, financial, investment, accounting, or tax advice. Any information about the Service is provided for technical purposes only.
4. Customer obligations
- You will use the Service in compliance with these Terms and all applicable laws, and you are responsible for your application, your content, and all activity conducted through your account, API keys, and credentials.
- You are the sole party responsible toward your End Users; Codego has no relationship with, and no obligations to, your End Users.
- You are responsible for the lawful basis, consent, disclosures, and terms governing your End Users, and for any KYC/AML and sanctions obligations applicable to your business.
- You must safeguard your password, API keys, passkeys, OTP/2FA factors, dashboard tokens, and any wallet seeds/keys disclosed to you, and configure the IP allowlist responsibly. All activity under your credentials is your responsibility.
- You must not let your use of the Service adversely affect, impede, or disrupt the Service, Codego's nodes, the signing vault, or other customers.
5. Accounts, API keys & security
You must be at least 18 and able to enter a binding contract, and provide accurate registration data. API keys are bound to an IP allowlist and metered by credits shared across all of an account's keys. Notify us promptly of any suspected compromise. We may suspend access we reasonably believe is abusive or a security risk.
6. Plans, credits, payment & cancellation
- The Service offers a free tier and paid plans, metered in credits (per-second and per-day budgets).
- Paid plans are billed in advance for the selected period via the Codego merchant gateway (USDC/CDG) or third-party card processing; multi-month discounts may apply.
- Plans renew unless cancelled before the period end. Fees paid and usage consumed are non-refundable except where required by mandatory law.
- We may change plans, limits, credit weighting, and pricing prospectively, effective from the next billing period.
7. Acceptable use
You must not, and must not allow others to: use the Service for unlawful activity, fraud, sanctions evasion, money laundering, or terrorist financing; attack, overload, reverse-engineer, or gain unauthorised access to the Service, our nodes, the vault, or other customers' data; circumvent rate limits, IP allowlisting, plan gating, or credit metering; resell or sublicense the Service without a written agreement with Codego; or breach the rules of any blockchain network or applicable law.
8. Wallet-as-a-Service & private keys (non-custodial)
- WaaS is a key-generation, signing, and broadcasting tool. Codego does not control, manage, or guarantee any Digital Assets and is not a custodian, wallet operator of record, or exchange.
- For custodial wallets, signing keys are held in an isolated signing vault and are used only to execute the instructions you submit through the Service.
- Blockchain transactions are irreversible. You are solely responsible for recipient addresses, amounts, token contracts, gas/energy, and network selection. Codego is not liable for misdirected, underpriced, stuck, reverted, or lost transactions.
- You are responsible for all compliance, tax, and reporting obligations arising from your and your End Users' on-chain activity.
9. Blockchains & third-party integrations
Public blockchains and any third-party networks, tokens, smart contracts, or integrations are not owned or controlled by Codego. We do not warrant or accept liability for their security, availability, functionality, settlement, execution, fees, finality, forks/reorganisations, or behaviour. On-chain data is public and immutable and outside Codego's control.
10. Data
Our handling of personal data is described in the Privacy Policy. For data relating to your End Users that you process through the Service, you act as the data controller and Codego acts as a processor on your documented instructions. Upon termination we may delete account and log data after applicable retention periods.
11. Availability & support
The Service is provided on a commercially reasonable-efforts basis. Free-tier usage carries no service-level commitment; paid-plan SLAs (if any) are as stated on the pricing page. We may perform maintenance and may modify, suspend, or discontinue features with reasonable notice where practicable.
12. Suspension & termination
We may suspend or terminate access immediately for breach of these Terms, suspected abuse or security risk, non-payment, or where required by law. You may stop using the Service and close your account at any time. Provisions that by their nature should survive (e.g. 3, 8, 9, 13–16) survive termination.
13. Intellectual property
The Service, its software, APIs, documentation, and brand are owned by Codego. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms. You retain rights to your own data and content.
14. Disclaimer of warranties
THE SERVICE AND ALL RELATED TECHNOLOGY AND INTELLECTUAL PROPERTY ARE PROVIDED “AS IS” AND “WITH ALL FAULTS”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CODEGO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR DIGITAL ASSETS / FUNDS. WITHOUT LIMITATION, CODEGO HAS NO LIABILITY FOR LOST OR COMPROMISED KEYS/SEEDS, BLOCKCHAIN BEHAVIOUR, OR THIRD-PARTY NETWORKS OR INTEGRATIONS. CODEGO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE FEES PAID AND PAYABLE BY THE CUSTOMER TO CODEGO IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING LIMITS LIABILITY THAT CANNOT BE EXCLUDED UNDER MANDATORY LAW.
16. Indemnification
You will indemnify and hold Codego harmless from claims, losses, and expenses arising from your application, your End Users, your content, your use of the Service, or your breach of these Terms or applicable law (including any regulatory or licensing requirement applicable to your business).
17. Changes to these Terms
We may update these Terms; the “Effective date” will change and material updates will be notified. Continued use after the effective date constitutes acceptance.
18. Governing law & jurisdiction
These Terms are governed by the laws of Malta. The courts of Malta have exclusive jurisdiction, without prejudice to mandatory consumer-protection rules of your country of residence where applicable.
